Install another software similar to your product. Then read its Licence Agreements and ammend it as you require ?
Unless its open source or a GNU Licence then there is a standard i believe.

I would probably have a lawyer draw one up for you just in case you ever have to use it.
had a lawyer go over mine and the only change he made was to include laywer fess to enforce the agreement.
Also you need to determine where the user is prompted for the agreement and if they can view it after the software is installed.
I prompt on installation and it can be viewed later from a menu item.
