Did you try using another disk for disk 2? Maybe it's bad.

If your using FAT32 for your file system NT4 can only see up to 4 gigs per partition. Yes, its more then likely that the floppy is bad or its a bad copy. Change the physical floppy disk and regenerate a new set.

hello, thanks for your replies.
ive already tried using new floppy disks.
and ive also tried downloading the set-up disks files but still got the same result.
could there be some hardware problems here?

Try doing a fdisk and reformatting your hd. Doesnt matter if its fat32, only trying to see if it can be formatted and then after that see if you can run a chkdisk on it for a possible bad cluster or sector.

the HD im using is a new one...so im not really sure if it is that cause..bt will try to run chkdisk...

One last possibility is that you have a incompatible hardware device. Something that may not be on the HCL at MS or it could also be a bad copy of NT4 Server. Is it legit?

Make sure you only have the bare necessities connected to your system during installation. No printer, no usb (NT4 doesnt support usb), COM port devices etc. as they may cause a conflict during installation.

ive already checked it...there's no other devices connected to the pc now. 
could a higher memory be a problem?

You may need to check on the microsoft site for the Hardwarre Compatibility List. This shows what hardware is certified to run each version of Windows. If the install is hanging and its a genuine CD then it must be a hardware compatibility issue.

the system would restart while reading setup disk2
specficially while it is loading FAT File System.

im back..
t'was really a hardware specs problem.
i tried using an "old" pc and the installation went fine..
btw, i tried to use the command "winnt /b" to run the setup.
this will copy all setup files in the HD instead of prompting you to insert the floppy disks..saved me a lot of time shifting from 1 disk to another.
