Commondialog1 Help Please

I'm Lost ;-(
New Puter. Win '98. Installed VB 5.0 Pro.
All is fine BUT, commondialog1 will not operate.
All other activex components are fine.
Try to use it on a form and I get the message "I don't
have the proper license".
I tried all possible ways of registering it to no avail.
It will register the comdlg32.ocx located in the windows\system directory just fine.
I also have comdlg32.ocx located in the VB directory.
I try to register the comdlg32.ocx in the VB directory and
it just won't work. I Get this message.
( loadlibrary"c:\program"failed )
( getlasterror returns 0x00000485 )
I hope someone can point me in the right direction...
