2005 and 2002 are different programs. I have 05 and 03 on my machine, because I have web sites in 2.0 and 1.1. It won't install over the previous edition. It'll install as a standalone program.

I tend to not directly upgrade them, but rather reference what I need and rewrite it specific for 05. The majority of the code behaves the same, but there are differences and optimizations that can be done in 05, and sometimes 05 doesn't even know 03 functions because better stuff is available. It's all a matter of what the project does.
You should never "Upgrade" any version of VS unless its a service pack or hotfix.
Just uninstall 02 (optional) and install 05 in a different directory then 02. This should be the default path when installing each version as MS tried to default different paths for each version but you never know if the deafault is changed by the user during an install. ;)
