mscomct2.ocx no rights

I was using mscomct2.ocx in my application. I had to format my machine and it is no longer available. I decided to reinstall my application and I restored the file. But now I get a message saying I do not have rights to develope with this OCX. WHat happend... where can I get this OCX with rights again?
I already downloaded vsp3 but this did not restore it!@@

The license file is gone. Go to Microsofts Web site and see if you can find a download for this control.
